People say franchisors take back successful locations whenever owners struggle. The decision I remember was about a supermarket nobody wanted to close.

The franchisee had missed repeated payment arrangements. Refrigeration repairs were overdue, key suppliers had restricted credit and staff feared their jobs.

Our distribution centre faced exposure. Nearby franchisees were reporting customer complaints about the shared brand, while the landlord wanted certainty about rent.

The owner said head office had failed him on promotions and pricing. We investigated those allegations alongside his accounts and operational failures. Neighbouring stores feared contagion from a public collapse.

A rescue team prepared a cash forecast, stock verification, equipment assessment and alternatives that might preserve an independently operated business.

The forecast showed continued trading would increase unpaid liabilities without a credible funding or management solution. Waiting was no longer neutral.

We checked the franchise agreement, lease, security, default notices and the legal route for any proposed transfer or control of assets.

There was no automatic right to arrive with a locksmith. Depending on the facts, we may need lawful consent, negotiated arrangements or court involvement.

We evaluated potential replacement operators, staff implications, customer continuity and who actually owned the stock and equipment before committing to a plan.

Where possible, the owner received a documented opportunity to respond and remedy breaches. A franchisor must use its rights reasonably, not vindictively.

The board approved only actions supported by the agreement, financial evidence and legal advice, with clear accountability for every rand of recovery cost.

Taking over a failed store is never a victory. The real failure is discovering too late that the brand, the customer and the creditor were already losing.
